Yup- its called an exhaust heat shield. You can reinstall it by using fender washers (small hole-large OD) instead of the factory ones where the thing is supposed to attach. If you can safely get under the car you can fix it for about $5. You can get the washers from any good parts store or an ACO.

Cat converter heat shield?
Yep, I'd say it was the heat shielding falling down. As stated earlier, get some body washers and some 1/8" rivets and go to town with it. My shielding started to fall down and sounded,also felt like, a $5.00 lap dance with a 40# Northern Pike.lol.

SO i need to get my oil changed and having just moved I have no tools other than a few phillips and a flat head screw driver. Do I really need that exhaust heat shield, or can i just pull it out. Also, if I bring into ford for an oil change, do you think they will do anything to help me out

You live in a climate where it can get hot-I don't suggest eliminating the shield. As I recall the nuts that hold the shield on are (I think) only 8mm. a cheepo box end and your in business. As for the dealer helping for no charge, it is very unlikely but it wont hurt to ask.

Ok thanks. It sucks because I don't have a jack or anything anymore. Hopefully the dealership will help me out. So do you guys think that rattling could be coming from the heat shield? It sounds like its in the engine bay but could the sound be reflecting off the pipes which makes it seem like its coming from the engine?

Check the bolts on the water pump, mine vibrated off awhile back except for one and caused a horrible rattling sound. Maybe this helps :-P
